1. Acceptance of Terms

By accessing or using Med Rep Registry (the “Platform”), operated by Med Rep Registry LLC (the “Company,” “we,” “us,” or “our”), you (“User”) agree to be bound by these Terms of Service (“Terms”) in their entirety. If you do not agree to all of these Terms, you must immediately discontinue use of the Platform. Your continued use constitutes your ongoing acceptance of these Terms as amended from time to time.

2. Description of Service

Med Rep Registry is an informational matching platform that allows pharmaceutical sales representatives (“Reps”) to create profiles and allows recruiters, employers, and other authorized users (“Recruiters”) to browse those profiles. The Platform is a passive, informational intermediary only. We do not guarantee employment, placement, introductions, or any other outcome. Nothing on this Platform constitutes an offer of employment, a staffing service, a placement guarantee, or a recruitment agency service.

3. User Accounts and Eligibility

You must be at least 18 years of age and legally authorized to work in the United States to create an account. By registering, you represent and warrant that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials. We reserve the right to suspend or terminate any account at our sole discretion, without notice or liability.

4. Rep Data Accuracy — User Responsibility

All profile data submitted by Reps is self-reported. The Company does not independently verify, audit, certify, or guarantee the accuracy, completeness, or truthfulness of any information entered by Reps, including but not limited to:

Physician relationships or NPI numbers claimed
Years of experience or tenure representations
Drug launch history or commercial outcomes
Therapeutic area expertise or clinical knowledge
Territory coverage or access claims
Awards, accolades, or performance rankings
Employer history or credentials

Reps warrant that all information they submit is truthful and non-misleading. Reps agree to indemnify and hold harmless the Company for any claims arising from inaccurate, misleading, or fraudulent profile data. The Company expressly disclaims any liability for hiring decisions made by Recruiters based on Rep-submitted information.

5. No Employment or Agency Relationship

Nothing in these Terms or on the Platform creates an employment, contractor, agency, partnership, joint venture, or fiduciary relationship between the Company and any User. The Company is not a staffing agency, employment agency, or placement firm. We do not act on behalf of any Rep or Recruiter in any employment capacity. All hiring decisions, employment negotiations, background checks, and contractual arrangements are exclusively between Reps and Recruiters; the Company is not a party to any such arrangement.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF DATA, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT ANY DATA IS ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, data, goodwill, or business opportunity
Hiring or placement outcomes (or lack thereof)
Reliance on inaccurate or false Rep profile data
Unauthorized access to or disclosure of User data
Interruption or cessation of the Platform
Disputes between Reps and Recruiters arising from introductions

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) any inaccurate, misleading, or unlawful content you submit; or (e) any hiring decision or employment action taken in reliance on Profile data.

9. Prohibited Conduct

You agree not to:

Submit false, fraudulent, or misleading information of any kind
Impersonate any person or misrepresent your affiliation with any entity
Scrape, harvest, or systematically collect data from the Platform
Circumvent any security or access control measures
Use the Platform for any unlawful purpose or in violation of any regulation
Harass, threaten, or harm any other user
Use automated tools to access the Platform without written authorization

10. Intellectual Property

All content, design, software, trademarks, and materials on the Platform are the exclusive property of the Company or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose. No rights are granted beyond what is expressly stated herein.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

12. Modifications to Terms and Platform

We reserve the right to modify these Terms at any time in our sole discretion. Material changes will be indicated by updating the Effective Date above. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. We also reserve the right to modify, suspend, or discontinue the Platform (or any portion thereof) at any time, with or without notice, and without liability to you or any third party.

13. Termination

We may suspend or terminate your access to the Platform at any time, for any reason or no reason, without notice or liability. Upon termination, your right to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 4, 5, 6, 7, 8, 10, 13, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Bozeman, Montana. You waive any right to a jury trial or to participate in a class action with respect to any such dispute.

15. Miscellaneous

These Terms constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. You may not assign any rights under these Terms without our prior written consent. The Company may assign its rights without restriction.
